Valuations

Valuing a business or an ownership interest is a complex process. Herrera Partners has extensive experience valuing publicly-held and private businesses, common stock and other ownership interests, patents, licenses, contract rights, software agreements, in-place workforce, intangibles and other intellectual property assets. We have performed many valuations related to merger, acquisitions, reorganizations, buyout provisions, estate and gift taxation, litigation, bankruptcy, partnership dissolutions, damages and employee stock ownership plans. We take an integrated approach that includes rigorous analysis, in-depth research and an understanding of market factors with respect to our valuation assignments.

Our valuation engagements have included valuing entire entities as well as specific assets. We have been engaged to determine the value of closely-held companies, the benefit of a specific business opportunity, a potential contract right or license agreement, intellectual property and other intangible assets, option agreements, interests in family partnerships, and securities not publicly traded. Importantly, we have testified as experts on valuation, economic and financial matters in state, tax and federal courts, and have successfully presented and defended valuation reports to the Internal Revenue Service and other governmental and regulatory agencies. We have served as experts in a number of cases in which the damages have been measured in terms of the diminution of the value of a business or the loss of a business opportunity in the form of contractual rights. We have assisted our clients and their legal counsel by developing or critiquing valuation methodologies, assumptions and calculations in light of accepted valuation practices and available factual information.
